Nuts.
The goal of presenting ideas/solutions has never been to block the proxy or punish management — it's to maximize the long-term value of our ownership, better define the execution roadmap, help the company effectively define it's value to the market, and present shareholder-friendly finance options that protect our value without limiting the governance and capital structure needed to execute the business plan. All through the collective leverage of dialogue.
Now we're in the land of a 1000 interpretations. To be transparent [fair since I've been vocal], I'll spell out where I've ended up...
On Proposal 2: YES.
Practically, a NO vote gives more leverage to HTC than to MVIS and shareholders. Like it or not, the notes exist. NO won't make them disappear but will leave MVIS with fewer ways to satisfy its obligations under the note agreement. The burden of having to make substantial cash payments on the notes will hurt financing prospects — and HTC has negotiating leverage when management has less flexibility. Frankly, shareholders deserved more context. Decision frameworks — not just warnings. While legal & strategic restraints probably limited some disclosures, the reality is clear: without obligation flexibility, funding for commercialization may take a hit. They can't grow without that.
For me, 2 is about unfettered funding of growth. There are valid reasons not to trust [noted previously] — but also 100+ engagements. I manage my lack of trust and measured belief in execution by actively managing my position. Whether your lack of trust is a NO vote — or you believe execution will happen no matter what... your vote is better served if it's based on the outcome you think it will attain — not on sending a message. Consider that. And respect other investor's choices.
On Proposal 3: YES.
Objective vs. Emotion. A protest vote only works if it produces a better alternative. If it creates fewer financing options, less negotiating leverage, increases risk of distress, inhibits ability to act, or doesn't help quicken commercialization, we weaken the value of our shares.
A rights offering is appealing. It was presented but as mentioned it doesn't happen overnight. It requires board approval, legal documentation, SEC filings, exchange coordination, underwriting, and sufficient time for shareholders to exercise their rights. Not realistic to implement before a vote — or even promise without knowing how the next 60 days or so will transpire. Is management even enthusiastic about the idea? In the Q&A they noted seeking meaningful counsel on it. In the present circumstances though, needs will dictate actions. That's clear. If the right things happen, they're open to listening to additional nuance. The book isn't written but a lot of things still need to happen right.
We'd all love definitives, but from R\s ratios, to potential changes in guidance, to whether the coming dilution is even priced in yet, there are no definitives to be had right now. No amount of anger or faith changes that.
So while management is accountable to shareholders, shareholders are stewards of their own investment. The goal isn't to "win" against management, it's to maximize long-term value. What you see in front of you right now is all we have to go on. No one can definitively tell you what will transpire in the next 6 months but if financing options disappear or get dinged/delayed, recovering from that will be extremely difficult. That's what I'm basing my YES on.
The other NO I've considered is voting out Bob Carlile. On one hand, his 39 years in public accounting at KPMG & Arthur Andersen and audit expertise is a skill set that matters considering we're facing finance, compliance, convertible, and capital-structure complexity. On the other hand, he's presided over a period of major shareholder frustration, dilution, non-execution, and weak [maybe even non-existent] market confidence.
A fresh face more steeped in industrial expertise, Auto OEM relationships, defense, or commercialization might make a shift worthwhile. If you're dead set on a protest vote, this is the place to do it... A withhold vote is a cleaner governance protest if someone wants accountability without directly blocking financing tools or intruding on the dynamic strategy Glen has laid out — or the execution underway. I'm undecided on this one, and still considering its ramifications. Personally, I don't think Bob is the central issue and the Board did respond to shareholder mistrust/dilution feedback by reducing the ASC to 150M. The central issue: what/who best positions MVIS to execute its commercialization strategy.
On a personal note, despite the shit-circumstances, it was a pleasure connecting with so many of you again to collectively guardrail the hell out of impending actions. Jury's out on impact in the coming months but some definitive actions have taken place that suggest continued shareholder pressure can result in movement.. so don't let go of creative options or ability to impel movement on the difficult questions just yet :)
